IPO Stream Terms of Use

1. Acceptance of these terms

These Terms of Use ("Terms") are an agreement between you and Alpha Edge Media, Inc. ("IPO Stream", "we", "us"). By visiting https://ipostream.com/ (the "Site") or subscribing to the IPO Stream newsletter (together, the "Service"), you agree to these Terms and to our Privacy Policy at https://ipostream.com/privacy. If you do not agree, please do not use the Service.

2. The Service

IPO Stream is a free weekly educational newsletter about US initial public offerings. It includes a weekly recap on Wednesdays and "Polly's Extras", a deep dive, on Fridays. The newsletter and Site are hosted on beehiiv. We may change, pause or stop any part of the Service at any time.

3. Not investment advice

IPO Stream is for educational and informational purposes only.

• Nothing in the Service is investment, financial, legal, tax or accounting advice.
• Nothing is a recommendation or an offer to buy or sell any security.
• We are not a registered investment adviser, broker-dealer or financial planner.
• Using the Service does not create a fiduciary, advisory or client relationship between you and us.
• IPOs can be volatile and risky. You could lose some or all of your money.

Do your own research and consult a qualified, licensed professional before making any investment decision. You are solely responsible for your own decisions.

4. Accuracy and sources

We gather figures and information from sources we believe to be reliable, including IPO Scoop, Renaissance Capital, SEC filings, company press releases and major news outlets. However:

• Information may be incomplete, out of date or contain errors.
• IPO details such as dates, pricing and share counts often change.
• Rumors and unconfirmed reports are labeled as such and should be treated with extra caution.
• We do not guarantee the accuracy, completeness or timeliness of any content, and we have no duty to update it.

Always check original sources, such as SEC filings, before relying on any information.

5. Intellectual property and permitted sharing

The Service, including text, graphics, logos, the "IPO Stream" name and the Polly character, is owned by us or our licensors and protected by intellectual property laws. Third-party trademarks belong to their owners.

You may:

• Read the newsletter for your personal, non-commercial use.
• Forward individual issues to friends or colleagues.
• Share links to our Site or issues, and quote short excerpts with credit to "IPO Stream" and a link to https://ipostream.com/.

You may not, without our written permission:

• Republish, sell, or redistribute our content in bulk or for commercial purposes.
• Remove copyright or attribution notices.
• Use our content to train or build a competing product or service.

6. User conduct

When using the Service, you agree not to:

• Break any law or infringe anyone's rights.
• Subscribe using someone else's email address without their permission.
• Interfere with, hack, or overload the Site or beehiiv's systems.
• Scrape or harvest content or data using automated means.
• Send spam, malware or abusive content when replying or contacting us.

7. Third-party links

The Service may contain links to third-party websites and sources, including those listed in Section 4. We do not control them and are not responsible for their content, accuracy or privacy practices. A link is not an endorsement.

8. Paid subscriptions (if introduced)

The Service is currently free. If we introduce paid subscriptions, such as an "Upgrade" tier, we will post the price, billing, renewal, cancellation and refund terms before you buy, and they will form part of these Terms. Payments will be handled by a third-party payment processor. We will give advance notice of any price change before it applies to you.

Paid content is still educational only and is covered by Sections 3 and 4.

9. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise the Service will be uninterrupted, error-free or secure.

10. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any investment losses or for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, arising from your use of, or reliance on, the Service.
• Our total liability for any claim related to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD $100.

Some places do not allow certain limits on liability, so some of these limits may not apply to you. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising from your misuse of the Service or your breach of these Terms, to the extent permitted by law.

12. Termination

You can stop using the Service at any time by unsubscribing through the link in any email. We may suspend or end your access at any time, for example if you break these Terms. Sections that by their nature should survive (including Sections 3, 4, 5, 9, 10, 11 and 13) will continue after termination.

13. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law rules. Any disputes will be resolved in the state and federal courts located in New York County, New York, unless the law where you live gives you the right to bring a claim locally.

14. Changes to these terms

We may update these Terms from time to time. We will post the new version on this page and update the "Last updated" date. If changes are significant, we will notify subscribers by email. Continuing to use the Service after changes take effect means you accept them.

15. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms and our Privacy Policy are the entire agreement between you and us about the Service.
